Station Compliance Terms of Service

These Station Compliance Terms of Service (the "Terms") are an agreement between Structural Integrity AI Labs LLC ("we," "us") and the Customer (defined in section 1). They cover Station Compliance with StationWatch at app.structuralintegrity.ai (the "Service"). Our creative and advertising services are covered by separate Creative Services Terms. Our Privacy Policy explains how we handle data.

By creating an account, ticking the agreement box, or using the Service, you agree to these Terms. If you do so for a company or station, you confirm you can bind it.

1. Who the Customer is

The "Customer" is the account owner: the person or business that creates the organization in the Service and controls its billing. A Customer can be an independent or contract engineer, an engineering company, or a broadcaster. People the Customer invites are "authorized users." The Customer is responsible for its authorized users and for keeping access to their email accounts secure.

A "licensee" is the FCC licensee of a station tracked in the Service. A licensee is not a party to these Terms unless it is also the Customer.

2. What the Service does, and does not do

The Service stores station records and gives reminders: FCC filing watch (StationWatch), checks due, EAS logs, ETRS form tracking, tower-light outage and NOTAM records, off-air records, site visits, signed records with an audit trail, inspection binders, and inspector share links.

The Service records and tracks things. It does not file or notify anything for you. It does not file ETRS forms or anything else with the FCC, and it does not notify the FAA or open a NOTAM. An entry, status, or binder in the Service does not mean an agency received, accepted, or approved anything. You must make every filing and notification yourself, through the agency's own systems.

3. No guarantee of compliance

The Service is a record-keeping and reminder tool. We do not guarantee that it will identify every compliance requirement, deadline, filing, or issue for any station. It may miss items, show them late, or show items that do not apply. The licensee and its engineers and staff remain solely responsible for compliance with FCC, FAA, and all other rules, including keeping required records, making filings, and meeting deadlines.

4. FCC data and reminders

FCC data in the Service comes from public FCC sources and other sources we do not control. It is retrieved on a schedule, not in real time, and may be delayed, incomplete, or wrong. Verify it with the FCC before relying on it.

Email and in-app reminders are a convenience. They may fail, arrive late, land in spam, or not be sent. Do not rely on them as your only way to track deadlines.

5. Not legal or engineering advice

Nothing in the Service is legal, regulatory, or engineering advice, and it does not replace your own review of the rules or advice from communications counsel or a qualified engineer.

6. Station records, licensees, and contract engineers

Authority. The Customer represents that it has the licensee's permission to upload, store, and manage each station's records in the Service, and that doing so is lawful.

Ownership. We do not own your records. Using the Service does not make a contract engineer the owner of a licensee's records; as between the Customer and the licensee, ownership is whatever they have agreed. You let us host, process, back up, and display the records only to provide, secure, and support the Service.

Export and deletion. The account owner can export all of the organization's records at any time from the Billing page. We delete the organization's or a station's records only at the account owner's request or as described in section 11.

When an engineer loses a client. The licensee should ask the engineer for an export. If that does not work, the licensee may contact us. At our discretion, after we verify that the requester is the licensee (or acts for it), we may give the licensee the records for its own station(s) that it is authorized to receive. Before releasing anything, we will give the account owner at least 10 days' notice and a chance to object. If ownership of the records is disputed, we will not release them without a written resolution between the parties or a court order. We have no obligation to decide or arbitrate disputes between the Customer and a licensee.

Retention is the licensee's duty. FCC record-retention duties belong to the licensee. The Service is not an archive service, and we do not promise to keep records for any required retention period. The licensee should keep its own copies of required records.

7. Acceptable use

Do not misuse the Service, interfere with it, try to get around its security or billing limits, upload unlawful content, or use it for anything unlawful. You are responsible for the accuracy and lawfulness of what you and your authorized users enter.

8. Free trial

New organizations get a 30-day free trial with no payment card required. When the trial ends without a subscription, the account becomes read-only (section 11).

9. Pricing, billing, and the founding offer

Pricing is per active station (call sign). Archived stations are not billed.

Prices are in U.S. dollars and do not include taxes, which are added where required. Subscriptions renew automatically each month or year until cancelled. Payments are processed by Stripe. If you subscribe during the trial, your first charge happens when the trial ends.

Adding or removing stations. Your subscription quantity updates when you add or archive a station, on monthly and yearly plans alike. Stripe prorates the change for the rest of the current billing period and shows it as a charge or credit on your next invoice.

Failed payments. If a payment fails, Stripe retries it automatically during its retry period (currently about 2 weeks). You keep full access for the first 7 days. After that, the account becomes read-only (section 11). No new charges accrue while the account is read-only. If the overdue invoice is still unpaid when the retry period ends, the subscription terminates. Paying the overdue invoice before then, or starting a new subscription within the 90-day read-only period, restores full access.

Founding offer. The first 25 paying organizations keep their per-station rates for 2 years from the start of their paid subscription, as long as the subscription stays active and on the same billing interval (monthly or yearly). This includes stations added later, at the same tier rates.

Price changes. Otherwise, we will give at least 30 days' notice by email or in the app before a price increase takes effect at your next renewal.

10. Cancellation and refunds

The account owner can cancel at any time with Manage billing on the Billing page, or by emailing us. Cancellation becomes effective at the end of the paid billing period; you keep full access until then and will not be charged again. Fees already paid are not refundable, including for partial periods, except as stated in sections 13 and 14 or where the law requires a refund.

11. After a trial, cancellation, or nonpayment

The account becomes read-only for 90 days when a trial ends without a subscription, when cancellation becomes effective at the end of the paid billing period, or when the 7-day full-access period after a failed payment ends (section 9). No charges accrue while the account is read-only. During that time you can still view and print everything, and the account owner can export everything, but no one can add new entries. Subscribing again during the 90 days (or paying the overdue invoice, section 9) restores full access.

After the 90 days, we delete the organization's records and files within 30 days. Export your records before the read-only period ends.

Deletion on request. The account owner can ask us by email to delete the organization or a station's records at any time. We complete deletion within 30 days after we verify the request.

Backups and exceptions. Any backup copies are deleted within 30 days after the records are deleted. We may keep data longer only where the law requires us to preserve it (for example, a legal hold or a court or government order), and only for as long as required. Stripe keeps payment and invoice records under its own legal obligations, and we keep invoices and a brief record of each deletion for tax and audit purposes.

12. Suspension

We may suspend or end access only for misuse: a breach of section 7, a security risk to the Service or other customers, or when the law requires it. When we reasonably can, we will tell you first and give you a chance to fix the problem and to export your records. Nonpayment leads to read-only access under section 11, not suspension.

13. Changes to the Service

We may improve, change, or remove features. We do not promise uninterrupted or error-free operation. If we discontinue the Service entirely, we will give at least 30 days' notice, let you export your records, and refund any prepaid fees for service we will not provide.

14. Changes to these Terms

For material changes, we will give at least 30 days' notice by email or in the app before they take effect, and we may ask you to accept the new version. If you object, you can cancel before the change takes effect. On a yearly plan, we will refund the prepaid fees for the unused part of your term. Non-material changes, such as clarifications, take effect when posted.

15. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL DETECT ALL COMPLIANCE ISSUES.

16. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (A) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS OR REVENUE, OR LOST DATA, OR FOR FINES, FORFEITURES, PENALTIES, OR ENFORCEMENT ACTIONS BY THE FCC, FAA, OR ANY OTHER AUTHORITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.

These limits do not apply to liability for our fraud, our willful misconduct, our violation of law, or anything else the law does not allow to be limited.

17. Indemnity

The Customer will defend us against third-party claims, and pay resulting losses, judgments, approved settlements, and reasonable legal fees, to the extent the claim arises from: (a) the Customer's or its authorized users' misconduct; (b) unlawful content they upload, or records uploaded without the licensee's permission; or (c) their breach of these Terms. This does not cover claims to the extent caused by our negligence, misconduct, or breach of these Terms.

To get this protection, we must tell the Customer promptly about the claim, let the Customer control the defense and settlement (it may not settle in a way that admits fault for us or binds us without our consent, which we will not unreasonably withhold), and reasonably cooperate at the Customer's expense. We may join with our own counsel at our own cost.

18. Governing law

These Terms are governed by Oklahoma law, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Oklahoma, and both sides consent to their jurisdiction.
